These terms of service ("Terms") govern the use of the Zigma ERP integration application ("the Application"), developed and operated by Zigma360 AS ("we", "us"), a Norwegian company. By authorizing the Application to access your accounting system, or by using the Application, you ("the Customer", "you") accept these Terms.
1. The service
The Application automatically transfers accounting documents (customer invoices and credit notes, including document attachments) from the Zigma ERP system to the accounting system you have connected and authorized (such as Visma Net, PowerOffice GO, Tripletex, or Unimicro), and provides a web interface for monitoring and managing those transfers.
2. Authorization and access
- You grant the Application access to your accounting system by providing or approving API credentials. You may revoke this authorization at any time in your accounting system or by deactivating your integration profile in the Application.
- You are responsible for keeping user accounts and credentials confidential, and for the actions of users you authorize.
3. Customer responsibilities
- You are responsible for the correctness of the data registered in Zigma ERP and for the configuration of your accounting system (accounts, VAT codes, and similar).
- You are responsible for reviewing transferred documents and reported errors in reasonable time; the Application flags documents that require manual attention.
4. Availability and support
We aim to keep the Application available at all times but do not guarantee uninterrupted operation. Scheduled maintenance and dependencies on third-party APIs (including the connected accounting system) may affect availability. Support is provided in accordance with your agreement with Zigma360 AS.
5. Data processing
Personal data is processed as described in our Privacy Policy. For invoice content, you are the data controller and Zigma360 AS acts as a data processor on your behalf.
6. Intellectual property
The Application, including its software and documentation, remains the property of Zigma360 AS. You receive a non-exclusive, non-transferable right to use the Application for your own business purposes for the duration of the agreement.
7. Liability
The Application transfers data as registered by you; we are not liable for errors that originate from incorrect source data or accounting system configuration. Our total liability is limited to direct documented losses and shall not exceed the fees paid for the Application during the last twelve months. We are not liable for indirect or consequential losses.
8. Termination
Either party may terminate the use of the Application in accordance with the underlying customer agreement. Upon termination we deactivate the integration and delete synchronized data as described in the Privacy Policy. We may suspend the service in case of material breach of these Terms or misuse that threatens the security or stability of the service.
9. Governing law
These Terms are governed by Norwegian law. Disputes shall be resolved by the ordinary Norwegian courts, with the venue of Zigma360 AS as the legal venue.
